- The Client’s general terms do not become part of the contract, even in the absence of written objections. They are recognised only if expressly approved by the Agency.
Contract formation and information
- General offers are subject to change and are non-binding.
- A contract is considered concluded when, following the Agency’s offer or cooperation agreement, the Client confirms it in writing and/or work begins by mutual consent. Email confirmation is sufficient for written form within the overall contractual relationship, unless otherwise agreed by the parties. Telephone agreements must be confirmed in writing.
- The cooperation agreement forms the basis of the Agency’s work.
- Prices are calculated according to the Agency’s price list applicable when the contract is concluded and apply only to the agreed services. Additional services not defined by the contract are charged according to the price list applicable at that time.
- The exercise of rights and obligations begins on the date both parties sign the contract.
Agency services and deadlines
- The Agency must perform the ordered services according to the project description and the contractual scope. Additional costs resulting from different requirements or changes requested by the Client are borne by the Client.
- Only authorised persons, or persons expressly designated by them, may agree on services with the Client on behalf of the Agency.
- A delivery deadline must be stated in writing and identified as binding. The Agency must perform the services on time.
- The Agency is not responsible for delays caused by force majeure or the Client’s failure to provide necessary materials or instructions on time.
Client cooperation and responsibility
- The Client must provide in writing all data, information and instructions needed to perform the agreed services and is responsible for their accuracy.
- If the Client discovers that supplied data, information or instructions are inaccurate, incomplete, ambiguous or infeasible, the Client must immediately inform the Agency and explain any possible consequences.
- The Client appoints one or more contact persons and their substitutes who are responsible for the contractual relationship and/or authorised to make decisions.
- The parties or their contact persons regularly communicate and report on progress and obstacles to contract performance.
- During the project and for 12 months after its completion, the Client undertakes not to engage Agency personnel directly or indirectly without prior consultation with the Agency.
Fees
- All Agency services are subject to a fee unless expressly agreed otherwise in writing. Fees are determined by individual contracts. The Agency’s price list applicable when the contract is concluded applies.
- Additional services requested by the Client and not defined by the contract are charged separately.
- All prices include VAT.
- If statutory sales tax changes, the Agency may adjust service or product fees from the date the new law takes effect.
- The Agency is not obliged to provide or activate contractual services before payment is received, unless expressly agreed otherwise in the contract.
Incidental, special and additional costs
- The Client bears additional costs arising after performance of the contractual services unless the contract provides otherwise.
- The Client must pay third-party costs necessary to perform the contractual services and, where needed, authorise the Agency to act in the Client’s name and on the Client’s account. If the Agency pays third-party costs or an advance, the Client must reimburse them.
